Description

The Associate General Counsel reflects the mission, vision, and values of NM, adheres to the organization’s Code of Ethics and Corporate Compliance Program, and complies with all relevant policies, procedures, guidelines and all other regulatory and accreditation standards.

Responsibilities:

This position will be responsible for advising about labor and employment matters in health care.

  • Provide legal representation to NMHC in discrimination complaints filed with the Illinois Department of Human Rights, the Illinois Human Rights Commission, the U.S. Equal Employment Opportunity Commission, and other local agencies.
  • Review complaints, draft responses and appear as needed in agency matters.
  • Engage with outside counsel and manage federal and state lawsuits.
  • Provide a broad range of labor and employment advice to NMHC, such as wage and hour, Title VII, ADA, unemployment, and immigration. 
  • Provide advice on traditional labor matters.
  • Assist with various employment compliance efforts: 
    • policy review, training of employees, Affirmative Action Plans, EEO-1 reporting, Equal Pay Act reporting, licensure, accreditation surveys, health care worker background checks, sanction screening, and other system employment compliance duties as assigned.

Advice and Counsel:

  • Provide legal advice and counsel regarding health care and general corporate legal issues affecting all areas of the NMHC systems operation, including employment, physician relationships, managed care arrangements, tax-exemption, antitrust, corporate law, governance, patient care and medico-legal issues, licensure, Medicare and Medicaid, medical staff matters, Corporate Compliance, Corporate Governance, and the broad range of regulatory matters affecting health care institutions.

Corporate Transactions:

  • Assist on corporate transactions, including strategy development, negotiation and drafting of necessary documents.

Regulatory Matters:

  • Review, analyze and counsel regarding federal and state legislation (and governmental and judicial interpretations thereof) relevant to health care providers, including, but not limited to, Medicare and Medicaid, Antitrust, Internal Revenue Code, ERISA, Insurance and Licensure.

Contract Drafting, Review, and Negotiation:

  • Review and draft a wide variety of contracts and other documents relating to all areas of the NMHC systems operation. Often involves active participation in the negotiation process.

Managed Care:

  • Assist in review and negotiation of managed care contracts and provide ongoing counsel for such contracts and strategies.

Legal Research:

  • Conduct legal research and prepare legal memoranda on the wide variety of issues described above.

Policy

  • Review and comment on hospital administrative policies.

Committee Participation:

  • Participate and provide legal advice to various committees such as Bylaws, Patient Care, Medical Records, etc.

Additional Functions:

  • Such other duties as may be assigned by the NMHC Deputy General Counsel from time to time.

Qualifications

Required:

  • J.D.
  • Minimum 5 years of health law or related experience.

Preferred:

  • Experience in the areas of general corporate, health care regulatory matters, managed care, corporate finance, corporate transactions, complex contracts, mental health law and employment matters is desired.
  • Prior law firm and/or in-house experience is also desired. Illinois license to practice law.
  • Negotiation and mediation skills
